1. Purpose and Scope

These Terms and Conditions ("Terms") govern your access to and use of the Projects to Bid platform and related services (the "Service"). By accessing or using the Service, you agree to be bound by these Terms.

2. Definitions

  • "Operator" means the entity that provides and operates the Service.
  • "User" means any person or entity that accesses or uses the Service.
  • "Client" means a User that posts projects, requests for proposals/quotes, or similar opportunities.
  • "Service Provider" means a User that submits proposals, bids, quotes, or otherwise offers services to a Client.
  • "Content" means any text, images, files, links, messages, and other materials submitted to the Service by Users.
  • "Transaction" means any agreement, statement of work, or contract entered into between Users.

3. Eligibility and Accounts

  • You must be at least 18 years old and able to form a binding contract to use the Service.
  • You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.
  • You agree to provide accurate, current information and to keep it updated.

4. The Platform Role (No Agency / No Brokerage)

The Service provides tools to help Clients and Service Providers find each other and communicate. Unless expressly stated otherwise in writing, the Operator is not a party to Transactions between Users and does not act as an agent, broker, contractor, or fiduciary for any User.

Users are solely responsible for negotiating, entering into, and performing Transactions, including scope, pricing, permits, compliance, payment, deliverables, warranties, and dispute resolution.

5. User Responsibilities

  • Comply with all applicable laws and regulations, including California and U.S. laws where applicable.
  • Ensure that any project details, bids, and profiles you provide are accurate and not misleading.
  • Obtain and maintain any required licenses, certifications, insurance, and permits for your services and projects.

6. Prohibited Conduct

  • Posting unlawful, harmful, deceptive, infringing, or defamatory content.
  • Sending spam or unsolicited promotions, or scraping/harvesting data without permission.
  • Attempting to gain unauthorized access to the Service, accounts, or systems.
  • Uploading malware or interfering with the integrity or performance of the Service.
  • Violating the privacy rights of others or misusing personal data.

7. Content and Intellectual Property

You retain ownership of Content you submit. By submitting Content, you grant the Operator a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, and distribute your Content as necessary to operate, improve, and market the Service, and to comply with legal obligations.

You represent that you have all rights necessary to submit your Content and that it does not infringe or violate any third-party rights.

8. Fees and Payments

The Service may offer free and paid features. If fees apply (e.g., subscription fees or transaction fees), the applicable pricing, billing terms, and refund policy will be presented to you before purchase and may be described in separate policies or order forms.

Unless explicitly stated, the Operator does not process payments between Users; Users remain responsible for payment terms and performance under their Transactions.

9. Privacy

Your use of the Service is subject to our Privacy Policy. Please review it to understand how we collect, use, and share information.

10. Availability; Changes; Suspension

We may modify, suspend, or discontinue all or part of the Service at any time for maintenance, security, operational, or business reasons.

We may suspend or terminate your access if we reasonably believe you have violated these Terms, applicable law, or the rights of others.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY USER OR PROJECT WILL MEET YOUR REQUIREMENTS.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE OPERATOR WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE OPERATOR'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID TO THE OPERATOR FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM (OR $100 IF YOU PAID NOTHING).

13. Indemnification

You agree to defend, indemnify, and hold harmless the Operator from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your Content, your use of the Service, or your violation of these Terms or applicable law.

14. Governing Law; Venue

These Terms are governed by the laws of the State of California, without regard to its conflict of laws principles.

Any dispute arising out of or relating to these Terms or the Service will be brought in the state or federal courts located in California, and you consent to personal jurisdiction and venue in those courts.

15. Changes to These Terms

We may update these Terms from time to time. We will post the updated Terms and update the "Last updated" date. Your continued use of the Service after the effective date means you accept the updated Terms.
